ORDERS: The act of our customers submitting an order constitutes their commitment to accept these terms of sale, and therefore no contrary clause can be invoked.

PRICES: Our prices are subject to revision. Invoicing is based on the current rate, these prices are exclusive of VAT, ex-factory, with shipping and packaging costs additional.

DELIVERY TIMES AND LOCATIONS: Our delivery times are provided as an indication, and any delay cannot be a reason for cancellation or penalties on the part of the customer. Furthermore, any force majeure event such as war, strike, weather conditions, fire, etc., leading to an extension of deadlines cannot, under any circumstances, be a reason for cancellation and penalties.

TRANSPORT/RECEPTION: Goods taken from our stores always travel at the risk and peril of the recipient, even if the shipment is made carriage-free. Claims must be made in writing and by registered letter with acknowledgment of receipt within 48 hours.

COMPLAINTS: We do not accept returns of goods for any reason without our prior authorization. In case of a defect, if it is mutually acknowledged, our liability is only engaged for the restoration or replacement of defective items, excluding any other compensation. Complaint period: 1 month after receipt of the goods.

PAYMENTS: The amount of the invoices is payable net without discount within 30 days from the date of delivery or cash on taking charge of the goods or against reimbursement (costs borne by the customer).

OWNERSHIP CLAUSE AND RESERVATION: The sale will only be deemed perfect after our customer's complete payment for the merchandise. Otherwise, it will remain our property. In the event of judicial settlement, unpaid goods must be returned through the judicial administrator or liquidator.

By express agreement and unless granted a deferment by us, the failure to pay our supplies by the due date will result in:

Immediate maturity of all sums due, regardless of the planned payment method.

Contentious intervention of services appointed by us.

The demand for damages and penalties, in the form of compensation equal to 20% of the amounts due, in addition to legal interest and possible legal fees.

LATE PENALTIES: 3 times the legal interest rate. Flat-rate recovery costs: €40.

JURISDICTION: Any dispute will be submitted exclusively to the commercial court of Lyon, to the exclusion of all others, even in the case of third-party proceedings and multiple defendants.
